IDC comments on Nokia`s acquisition by Microsoft .

Today's announcement signals the end of an era, not just for Nokia, but also for Microsoft. Both companies have now embraced different strategies to be able to better compete in a completely different landscape where mobility is the driver. While Microsoft realized that it wouldn't be possible to succeed without controlling the entire value chain, Nokia has realized that it needed a stronger ally with the financial muscle to continue driving its Lumia smartphones. 

The market has moved from a product to an ecosystem battlefield. In this new world, phone makers need to excel in the hardware and design, but more importantly they need to excel in the user experience, as well as services and content offering, which is extremely cash demanding. Moreover, as smartphone penetration continues to grow, manufacturers will only be able to increase their sales by attracting users from competitors, which requires huge investments. Nokia realized it didn't have the financial resources to become the third alternative to Apple and Samsung in the smartphone segment. Instead of waiting to see whether that would change and eventually risk running out of cash, it decided to sell itself to the only company really keen to invest in Windows Phone.

Despite the partnership between Nokia and Microsoft on the operating system side, it was clear that both companies were moving at different speeds. Since the agreement was closed in 2011, Nokia has been able to launch several Windows Phone devices quickly, addressing the lower price points the market needed and launching services across the range of devices to differentiate from other players. On the other hand, the development of the operating system has been slow and far behind other operating systems. The Windows Phone OS hasn't been able to attract the same number of developers and consequently it failed to attract users, who preferred other platforms due to the availability of more apps, more features, and more devices. Microsoft was relying on Nokia to make Windows Phone successful and Nokia was relying on Microsoft to grow the ecosystem. Now it is time for Microsoft to take onboard its own destiny.

The tiny Windows Phone success has been driven by Nokia's strong product development capabilities and the "blind" support from operators expecting to see much stronger support from Microsoft so they could have an alternative to Android and iOS. Therefore today's agreement will be well received by mobile operators as Microsoft will align the software and hardware development, speeding up the Windows Phone operating system, but more importantly it will give operators access to Microsoft's deep pockets, which it will use to promote Windows Phones.

We will probably see more agreements like this one in the future. The time for pure-play vendors has ended and the remaining ones haven't understood that yet. The market will become more concentrated as economies of scale are important to survive in a market where profits will come from several slices of a pie rather than one single business, particularly if that business is hardware. Mobile phone vendors will realize that the only chance to succeed is by merging with content providers, with bigger manufacturers, or less likely with an operator or a large retail chain. Whatever form it takes, concentration is key to survive as margins will continue to be squeezed by the dominant players. While Nokia has realized that and is taking action, others will continue to see their financial situation deteriorate and will take the same decision when bankruptcy is a reality.

Although Microsoft is buying the entire Nokia Devices unit, it is still unknown what the company will do with this segment. Feature phones continue to represent a significant percentage of worldwide shipments, but that will drastically change in the next few years. In the long term there is a small market opportunity in the segment, but in the short term it is important that Microsoft keeps the segment alive and profitable. This will give it access to markets where feature phones are still the dominant segment and where the Nokia's brand is still strong. These markets will see an explosion in smartphones in the next few years and users will likely replace their basic phones with a smartphone from a make they already know and trust. Attracting this first wave of smartphone adopters is crucial for Microsoft's growth in these regions.

Microsoft announced late Monday that it is buying the majority of Nokia’s cell phone unit for 3.79 Euros ($5.0 billion) and spending another 1.65 billion Euros ($2.18) to license Nokia’s patent portfolio for a total of 5.44 billion euros ($7.17 billion).

Once the deal is done, a number of Nokia executives will join Microsoft including Stephen Elop, a former Microsoft executive seen as among the top contenders to replace CEO Steve Ballmer.

Microsoft to acquire Nokia’s devices & services business, license Nokia’s patents and mapping services

REDMOND, Washington and ESPOO, Finland – Sept. 2, 2013 – Microsoft Corporation and Nokia Corporation today announced that the Boards of Directors for both companies have decided to enter into a transaction whereby Microsoft will purchase substantially all of Nokia’s Devices & Services business, license Nokia’s patents, and license and use Nokia’s mapping services.
Under the terms of the agreement, Microsoft will pay EUR 3.79 billion to purchase substantially all of Nokia’s Devices & Services business, and EUR 1.65 billion to license Nokia’s patents, for a total transaction price of EUR 5.44 billion in cash. Microsoft will draw upon its overseas cash resources to fund the transaction. The transaction is expected to close in the first quarter of 2014, subject to approval by Nokia’s shareholders, regulatory approvals and other closing conditions.
Building on the partnership with Nokia announced in February 2011 and the increasing success of Nokia’s Lumia smartphones, Microsoft aims to accelerate the growth of its share and profit in mobile devices through faster innovation, increased synergies, and unified branding and marketing. For Nokia, this transaction is expected to be significantly accretive to earnings, strengthen its financial position, and provide a solid basis for future investment in its continuing businesses.
“It’s a bold step into the future – a win-win for employees, shareholders and consumers of both companies. Bringing these great teams together will accelerate Microsoft’s share and profits in phones, and strengthen the overall opportunities for both Microsoft and our partners across our entire family of devices and services,” said Steve Ballmer, Microsoft chief executive officer. “In addition to their innovation and strength in phones at all price points, Nokia brings proven capability and talent in critical areas such as hardware design and engineering, supply chain and manufacturing management, and hardware sales, marketing and distribution.” 
“We are excited and honored to be bringing Nokia’s incredible people, technologies and assets into our Microsoft family. Given our long partnership with Nokia and the many key Nokia leaders that are joining Microsoft, we anticipate a smooth transition and great execution,” Ballmer said. “With ongoing share growth and the synergies across marketing, branding and advertising, we expect this acquisition to be accretive to our adjusted earnings per share starting in FY15, and we see significant long-term revenue and profit opportunities for our shareholders.”

Additionally, the deal offers future opportunities for many Nokia employees as part of a company with the strategy, financial resources and determination to succeed in the mobile space.”
“Building on our successful partnership, we can now bring together the best of Microsoft’s software engineering with the best of Nokia’s product engineering, award-winning design, and global sales, marketing and manufacturing,” said Stephen Elop, who following today’s announcement is stepping aside as Nokia President and CEO to become Nokia Executive Vice President of Devices & Services. “With this combination of talented people, we have the opportunity to accelerate the current momentum and cutting-edge innovation of both our smart devices and mobile phone products.”
Nokia has outlined its expected focus upon the closing of the transaction in a separate press release published today.
TERMS OF THE AGREEMENT
Under the terms of the agreement, Microsoft will acquire substantially all of Nokia’s Devices and Services business, including the Mobile Phones and Smart Devices business units as well as an industry-leading design team, operations including all Nokia Devices & Services-related production facilities, Devices & Services-related sales and marketing activities, and related support functions. At closing, approximately 32,000 people are expected to transfer to Microsoft, including 4,700 people in Finland and 18,300 employees directly involved in manufacturing, assembly and packaging of products worldwide. The operations that are planned to be transferred to Microsoft generated an estimated EUR 14.9 billion, or almost 50 percent of Nokia’s net sales for the full year 2012.
Microsoft is acquiring Nokia’s Smart Devices business unit, including the Lumia brand and products. Lumia handsets have won numerous awards and have grown in sales in each of the last three quarters, with sales reaching 7.4 million units in the second quarter of 2013.
As part of the transaction, Nokia is assigning to Microsoft its long-term patent licensing agreement with Qualcomm, as well as other licensing agreements.
Microsoft is also acquiring Nokia’s Mobile Phones business unit, which serves hundreds of millions of customers worldwide, and had sales of 53.7 million units in the second quarter of 2013. Microsoft will acquire the Asha brand and will license the Nokia brand for use with current Nokia mobile phone products. Nokia will continue to own and manage the Nokia brand. This element provides Microsoft with the opportunity to extend its service offerings to a far wider group around the world while allowing Nokia’s mobile phones to serve as an on-ramp to Windows Phone. 
Nokia will retain its patent portfolio and will grant Microsoft a 10-year license to its patents at the time of the closing. Microsoft will grant Nokia reciprocal rights to use Microsoft patents in its HERE services. In addition, Nokia will grant Microsoft an option to extend this mutual patent agreement in perpetuity.
In addition, Microsoft will become a strategic licensee of the HERE platform, and will separately pay Nokia for a four-year license.
Microsoft will also immediately make available to Nokia EUR 1.5 billion of financing in the form of three EUR 500 million tranches of convertible notes that Microsoft would fund from overseas resources. If Nokia decides to draw down on this financing option, Nokia would pay back these notes to Microsoft from the proceeds of the deal upon closing. The financing is not conditional on the transaction closing. 
Microsoft also announced that it has selected Finland as the home for a new data center that will serve Microsoft consumers in Europe. The company said it would invest more than a quarter-billion dollars in capital and operation of the new data center over the next few years, with the potential for further expansion over time.
NOKIA LEADERSHIP CHANGES
Nokia expects that Stephen Elop, Jo Harlow, Juha Putkiranta, Timo Toikkanen, and Chris Weber would transfer to Microsoft at the anticipated closing of the transaction. Nokia has outlined these changes in more detail in a separate release issued today.
EXTRAORDINARY SHAREHOLDERS MEETING
Nokia plans to hold an Extraordinary General Meeting on November 19, 2013. The notice of the meeting and more information on the transaction and its background are planned to be published later this month.

REDMOND, Wash. — Aug. 23, 2013 — Microsoft Corp. today announced that Chief Executive Officer Steve Ballmer has decided to retire as CEO within the next 12 months, upon the completion of a process to choose his successor. In the meantime, Ballmer will continue as CEO and will lead Microsoft through the next steps of its transformation to a devices and services company that empowers people for the activities they value most. 
“There is never a perfect time for this type of transition, but now is the right time,” Ballmer said. “We have embarked on a new strategy with a new organization and we have an amazing Senior Leadership Team. My original thoughts on timing would have had my retirement happen in the middle of our company’s transformation to a devices and services company. We need a CEO who will be here longer term for this new direction.”
The Board of Directors has appointed a special committee to direct the process. This committee is chaired by John Thompson, the board’s lead independent director, and includes Chairman of the Board Bill Gates, Chairman of the Audit Committee Chuck Noski and Chairman of the Compensation Committee Steve Luczo. The special committee is working with Heidrick & Struggles International Inc., a leading executive recruiting firm, and will consider both external and internal candidates.
“The board is committed to the effective transformation of Microsoft to a successful devices and services company,” Thompson said. “As this work continues, we are focused on selecting a new CEO to work with the company’s senior leadership team to chart the company’s course and execute on it in a highly competitive industry.” 
“As a member of the succession planning committee, I’ll work closely with the other members of the board to identify a great new CEO,” said Gates. “We’re fortunate to have Steve in his role until the new CEO assumes these duties.”

Microsoft is promoting its Office 365 on two new ads.



Office 365 is advertised as the right productivity service for all students going to college who wish to do paperwork with ease, especially because it could be also accessed from a tablet or a smartphone.

A 4-year subscription for Office 365 University costs only $1.67 (that’s about €1.25) per month, and is compatible with Windows 7, Windows 8, and Mac OS X 10.6 or later.



Microsoft is trying to show the advantages of working with documents on the cloud.

Office 365 can be used not only on desktop computers, but also on laptops, tablets, and mobiles phones.

You will be able to get Windows 8.1. starting at 12:00am on October 18th in New Zealand (that’s 4:00am October 17th in Redmond), Windows 8.1 and Windows RT 8.1 will begin rolling out worldwide as a free update for consumers with Windows 8 or Windows RT devices through the Windows Store. 

Windows 8.1 will also be available at retail and on new devices starting on October 18th by market. So mark your calendars!

Skype will be "in the box" with Windows 8.1.


In a blog post on August 15, Ryan Gavin -- the former Internet Explorer General Manager whose new title is General Manager of the newly created Microsoft Apps & Services unit -- confirmed Skype will be among the apps Microsoft ships as part of the Windows 8.1 package (for both Intel- and ARM-based devices).

Other appss in that group include Xbox Music, Video, Games, SkyDrive, Internet Explorer, Photos, Mail, the Bing AppEx apps (like Sports, Finance, Travel) and more.

Video: Microsoft launches the Xbox One, AIO entertainment system

Introducing Xbox One, the all-in-one entertainment system.  This is the unveil video for the Xbox One, showcasing the console, the new Kinect sensor and the new Xbox One controller, as well as the new experiences that will be coming with Xbox One, including the personal homescreen, cinematic gaming, Live TV and Skype.  Welcome to a new generation of games and entertainment.




After nearly eight years since the launch of the Xbox 360, Microsoft presented today (12:00 Ecuador) the news of the new video game console Xbox christened One The expectation generated following the launch caused it to become global trend on Twitter with the hashtag # XboxOne. 

This new console will compete with the already announced Sony PlayStation 4. The new Xbox One, successor to the Xbox 360, will be an integrated console for voice recognition thanks to the user can go from watching movies or listening to your favorite music playing. The command of the Xbox One multitasking allow the user to watch content simultaneously.

 The screen is divided to facilitate the user to watch TV and surf the Internet at the same time, you can also make video calls Skype cin while playing video games or watching TV. The new console will have 8 GB of ram, blu-ray, 500 gb hard drive and most of the controls, the user can also use your tablet as a controller.

In the presentation, projected images of sports figures among which highlighted the Argentine footballer Lionel Messi. The Barcelona player said that interaction is "super-sized". Ultimate Team mode of 'FIFA 14' will be exclusive to Xbox One Another exclusive content will be integrated IV Modern Warfare game 'Call of Duty Ghosts'. 

Filmmaker and producer Steven Spielberg was also part of the presentation and noted that "the Halo universe is an awesome experience with the technology to produce something new." Thus, Spielberg will produce a TV series based on the Halo franchise exclusively for Xbox Xbox One One will have 15 exclusive games and the console will be available later this year.

The Amazon app is available for free in the Windows Store and it offers support not only for 32- and 64-bit versions of the operating system, but also for Windows RT and, consequently, for Surface RT.

The feature list is at least impressive, as the Amazon for Windows 8 app allows you to quickly search for products, read product descriptions and reviews, add products to the shopping car or to the wish list and even purchase products.

Official: Microsoft`s Surface tablet with Windows 8 Pro priced. Availability Jan 2013.


In January, Surface with Windows 8 Pro will be available in two versions and pricing will start at $899:

· 64GB standalone version at $899
· 128GB standalone version at $999

Both versions will both include a Surface pen with Palm Block technology and include the ability to use a Touch Cover or Type Cover (sold separately).

Surface with Windows 8 Pro uses the same familiar elegant design principles as Surface with Windows RT including the Dark Titanium VaporMg casing, dual 2x2 MIMO antennas designed specifically for Surface and of course the kickstand.

Specifications:
Surface with Windows 8 Pro will come with Intel’s next generation Core i5 processor. This chip will give Surface with Windows 8 Pro a graphics boost for its 10.6” 16:9 ClearType display that runs at a 1920x1080 full HD resolution.

 Surface with Windows 8 Pro also includes a full-size USB 3.0 port. Its Mini DisplayPort can drive an external display up to 2560X1440 resolution. 

 Surface with Windows 8 Pro will support Pen input. This is an amazing feature for all you note-takers or document editors out there, especially since it has expanded capacitive and digitizing technology we’re calling Palm Block that will prevent your handwriting from getting interrupted if you accidently place your palm on the screen as you write. This feature is pretty cool, and allows for a great inking experience alongside a great touch experience when needed.

Surface with Windows 8 Pro will run your current Windows 7 desktop applications – it’s a full PC AND a tablet.

And all this in a PC that will weigh less than two pounds and be less than 14 millimeters thick.

The Surface Pro will have a 42 W-h battery,  to "have approximately half the battery life of Surface with Windows RT." (just over four-and-a-half hours.)
